The terms we work on.

This is a published draft of our terms, not the full contract and not yet in binding force: it is being finalized with a Ukrainian lawyer. Until then, every engagement is governed solely by its own written agreement and scope (SOW), which take precedence over this page.

1. Who we are

PLAVUTSKYI is an independent digital product studio operated by Dmytro Plavutskyi as a registered sole trader (ФОП) in Ukraine. In these terms “we”/“the studio” means PLAVUTSKYI, and “you”/“the client” means the person or company ordering a service.

2. What we offer

Design and development of websites, business tools, bounded AI/automation workflows and custom CAD/3D deliverables, plus optional maintenance. The exact deliverables of your project are defined in its proposal and scope, not here.

3. How an order works

Inquiry → fit review → discovery → proposal and agreement → build → acceptance → handoff → warranty and optional support. The full process is described on the “How we work” page.

Nothing binding — price, scope or deadline — is fixed until a written proposal and agreement are accepted.

4. Prices and payment

Prices are quoted in US dollars as an anchor. For clients in Ukraine, the invoice is issued and paid in hryvnia at a fixed rate. International clients may contract and pay in USD or EUR by international invoice.

Payment is by milestones written into the agreement — typically a deposit to start and the balance before final handoff. Accepted methods: Monobank (card, Apple Pay, Google Pay), Покупка Частинами for larger projects, or an international invoice by card or bank transfer.

Third-party costs — hosting, domain, email, AI usage — are paid from your own accounts or billed transparently with a cap.

5. Scope and changes

The agreed scope (SOW) lists exactly what is included. Anything not listed is not part of the initial price.

A new request is handled as a change request with its own price and effect on the timeline. Each project includes an agreed number of revisions.

6. Rights and ownership

Our default model is Hybrid. You own your brand, domain, data and production accounts. The bespoke code, design and files in your scope are transferred or licensed to you after acceptance and full payment.

Our reusable toolkit, templates, methods and internal systems stay ours; you receive a license to the reusable parts built into your system. Because Ukrainian law passes commissioned rights to the client by default, this split is reserved explicitly in the agreement.

Raw AI-generated output cannot be promised as unique; where it is used, it is reviewed and integrated by a human.

7. Warranty and support

Each project includes a warranty window for fixing defects in the delivered scope. Ongoing maintenance and care are separate and, if wanted, written into the agreement.

8. Personal data

We handle personal data as described in the privacy notice. When a project processes end-user data, the roles and responsibilities are set out in the project agreement.

9. Acceptance

While these terms are a draft, they are not accepted by payment and create no obligations on their own: every engagement is agreed in its own written proposal, agreement and scope, which are the binding documents.

Once the terms are finalized after legal review, this page will state its effective date, and accepting a proposal or paying an invoice will constitute agreement to the version in force at that time. Individual projects — especially where rights transfer — will still require a separately signed agreement and scope.

10. Changes to these terms

If these terms change materially, we publish a new version number here. The version in force is the one published at the time your agreement is made.
